1. Introduction

These Terms and Conditions govern the provision of website design, development, hosting, maintenance, digital marketing and related services by BIT Web Designs (“BIT Web Designs”, “we”, “us” or “our”) to clients (“Client”, “you” or “your”).

By accepting a quotation, making a payment, instructing BIT Web Designs to commence work, or using our services, you agree to be bound by these Terms and Conditions.


2. Services

BIT Web Designs may provide services including, but not limited to:

  • Website design and development

  • Website redesign

  • WordPress website development

  • Website hosting

  • Domain registration and management

  • Website maintenance

  • Website updates

  • Search Engine Optimisation (SEO)

  • Google Business Profile services

  • Digital marketing

  • Google Ads management

  • Social media marketing

  • Website security and optimisation

  • Technical support

  • Other digital and web-related services agreed upon with the Client

The exact services to be provided will be outlined in the relevant quotation, proposal, invoice or written agreement.


3. Quotations and Project Approval

All quotations provided by BIT Web Designs are subject to the scope of work specified in the quotation.

A quotation may specify:

  • Services included

  • Project requirements

  • Estimated completion period

  • Number of pages or deliverables

  • Features and functionality

  • Hosting and domain requirements

  • Marketing services

  • Pricing

  • Payment terms

A project will be considered approved once the Client:

  1. Accepts the quotation in writing;

  2. Makes the required deposit; or

  3. Gives BIT Web Designs written or verbal instruction to commence work.

Once the project has been approved and work has commenced, cancellation may be subject to the cancellation provisions contained in these Terms and Conditions.


4. Website Project Payment Terms

Unless otherwise agreed in writing, the standard payment structure for website development projects is:

40% Deposit

A 40% deposit is required before work on the project commences.

The deposit confirms the Client’s acceptance of the quotation and secures the project.

BIT Web Designs is not required to commence work until the deposit has been received.

Remaining Balance

The remaining 60% balance is payable within 7 working days after completion of the project.

For purposes of these Terms and Conditions, a project is considered completed when the agreed website or deliverables have been substantially completed and made available to the Client for final review or publication.


5. Project Completion and Client Approval

Once the agreed project has been completed, BIT Web Designs will provide the Client with an opportunity to review the work.

The Client must provide any reasonable final amendments relating to the agreed scope of work within the agreed review period.

Requests that fall outside the original scope of work may be treated as additional work and may incur additional charges.

A project will not be considered incomplete merely because the Client requests additional features, functionality, pages, content or design changes that were not included in the original quotation.


6. Additional Work

Additional work outside the agreed quotation may include:

  • Additional website pages

  • Additional functionality

  • Additional design revisions

  • Additional integrations

  • Additional forms

  • E-commerce functionality

  • Additional content creation

  • Additional graphic design

  • Additional SEO work

  • Additional marketing services

  • Changes requested after approval

  • Major changes to an approved design

  • New features requested after development has commenced

Additional work may be quoted separately and will only be undertaken once the Client has approved the additional cost.


7. Hosting Fees

Where BIT Web Designs provides website hosting, hosting fees are payable monthly in advance.

Hosting Payment Due Date

All monthly hosting fees must be paid on or before the 1st day of each month.

Failure to make payment by the due date may result in:

  • Website suspension;

  • Hosting suspension;

  • Temporary disabling of services;

  • Additional administration or reconnection fees; and/or

  • Termination of hosting services where the account remains unpaid.

BIT Web Designs reserves the right to suspend hosting services where an account is overdue.


8. Domain Registration and Renewal

Where BIT Web Designs manages a domain on behalf of the Client, the Client is responsible for ensuring that all applicable domain registration and renewal fees are paid.

Domain fees may be charged separately from hosting fees.

Failure to pay domain renewal fees may result in the domain expiring or becoming suspended.

BIT Web Designs cannot be held responsible for loss of a domain resulting from non-payment where the Client has been notified of the applicable renewal requirements.


9. Monthly Marketing Fees

Where the Client subscribes to ongoing marketing services, including but not limited to:

  • Google Ads management

  • SEO

  • Social media marketing

  • Digital advertising management

  • Google Business Profile management

  • Content marketing

  • Other recurring marketing services

the applicable monthly marketing fee is payable on or before the 1st day of each month.

Marketing services may be suspended if payment is not received by the due date.

Advertising spend paid directly to advertising platforms, such as Google or Meta, may be separate from BIT Web Designs’ management fee unless otherwise stated in writing.


10. Late Payments

Payments that are not received by the applicable due date may be considered overdue.

BIT Web Designs reserves the right to suspend work or services where an account is overdue.

This may include:

  • Pausing website development;

  • Suspending hosting;

  • Suspending maintenance;

  • Suspending marketing services;

  • Pausing advertising management;

  • Restricting access to certain services; and/or

  • Delaying delivery of outstanding work.

Services may resume once outstanding amounts have been settled, subject to any applicable reconnection or administration fees.


11. Website Ownership and Handover

Unless otherwise agreed in writing, ownership and/or transfer of completed website deliverables may be subject to the Client’s account being fully paid.

BIT Web Designs may retain access to website development, hosting, administrative or technical systems until all outstanding amounts relating to the project or applicable services have been paid.

Once the Client’s account has been fully settled, BIT Web Designs will provide the agreed access, credentials or handover information applicable to the project.


12. Client Responsibilities

The Client is responsible for providing BIT Web Designs with the information and materials reasonably required to complete the project.

This may include:

  • Company information

  • Contact details

  • Business descriptions

  • Logos

  • Images

  • Product information

  • Service information

  • Pricing

  • Social media links

  • Domain information

  • Login credentials where required

  • Legal documents

  • Terms and conditions

  • Privacy policies

  • Other relevant content

The Client confirms that they have the necessary rights and permissions to use materials supplied to BIT Web Designs.

BIT Web Designs will not be responsible for delays caused by the Client’s failure to provide required information, approvals, content or access.


13. Client-Supplied Content

The Client is responsible for ensuring that all content supplied to BIT Web Designs is accurate and lawful.

This includes:

  • Text

  • Images

  • Videos

  • Logos

  • Product information

  • Prices

  • Claims about products or services

  • Copyrighted materials

The Client indemnifies BIT Web Designs against claims arising from materials supplied by the Client where such claims result from the Client’s lack of rights, permissions or authority to use those materials.


14. Website Revisions

The number of revisions included in a project will depend on the quotation or agreed scope of work.

Reasonable revisions relating to the original brief may be included.

Requests that substantially change the original design, functionality or project requirements may be charged separately.


15. Project Delays

BIT Web Designs will make reasonable efforts to complete projects within the estimated timeframe.

However, project completion dates may be affected by:

  • Delays in receiving information from the Client;

  • Delays in receiving approvals;

  • Changes to the project scope;

  • Third-party services;

  • Hosting issues;

  • Domain issues;

  • Plugin or software compatibility;

  • Technical problems;

  • Force majeure events; or

  • Other circumstances outside BIT Web Designs’ reasonable control.


16. Third-Party Services

Websites may rely on third-party services, platforms or software, including:

  • WordPress

  • Web hosting providers

  • Domain registrars

  • Payment gateways

  • Google services

  • Meta services

  • Plugins

  • Themes

  • APIs

  • Email providers

  • Security services

BIT Web Designs is not responsible for interruptions, changes, price increases, limitations, security incidents or discontinuation of third-party services that are outside our reasonable control.


17. Website Hosting

Where BIT Web Designs provides hosting, hosting services are subject to the terms and limitations of the applicable hosting infrastructure and provider.

Hosting fees do not automatically include website development, maintenance, content changes, SEO or marketing unless expressly stated in writing.


18. Website Maintenance

Website maintenance services are only included where specifically stated in the quotation or service agreement.

Maintenance may include:

  • WordPress updates

  • Plugin updates

  • Theme updates

  • Security monitoring

  • Backups

  • Minor content changes

  • Technical support

The exact maintenance services included will depend on the Client’s selected package.


19. Marketing Services

BIT Web Designs may provide marketing services based on an agreed monthly package.

Marketing results can be affected by numerous factors outside BIT Web Designs’ control, including:

  • Competition

  • Advertising budgets

  • Search engine algorithms

  • Market conditions

  • Consumer behaviour

  • Third-party advertising platforms

  • Website performance

  • Client responsiveness

BIT Web Designs does not guarantee a specific number of leads, sales, rankings, enquiries or revenue unless expressly agreed in writing.


20. Google Ads and Advertising Spend

Where BIT Web Designs manages advertising campaigns, the Client’s advertising budget may be separate from BIT Web Designs’ management fee.

The Client remains responsible for ensuring that sufficient funds are available for advertising platforms where required.

BIT Web Designs does not guarantee advertising results.


21. Cancellation of Monthly Services

A Client wishing to cancel recurring hosting, maintenance or marketing services should provide written notice to BIT Web Designs.

Any outstanding invoices must be settled before cancellation or transfer of services.

Where services have already been provided for the relevant billing period, fees for that period may remain payable.


22. Cancellation of Website Projects

If the Client cancels a website project after work has commenced, BIT Web Designs may retain an amount reasonably corresponding to work already completed, committed resources and costs incurred.

Where the amount already paid is insufficient to cover work completed and costs incurred, the Client may be responsible for the outstanding balance.


23. Refunds

Payments for work already completed, services already provided or third-party costs already incurred are generally non-refundable, subject to applicable South African law and the specific terms of the Client’s agreement.

Any refund request will be considered based on the circumstances of the matter and applicable law.


24. Intellectual Property

Unless otherwise agreed in writing, BIT Web Designs retains ownership of its pre-existing materials, development tools, templates, systems, processes, code libraries and other intellectual property used to provide services.

Third-party themes, plugins, software, stock images, fonts and other licensed materials remain subject to their respective licence terms.

The Client will receive the rights agreed upon in the quotation or service agreement once applicable payments have been fully settled.


25. Portfolio and Marketing Use

Unless the Client expressly requests otherwise in writing, BIT Web Designs may display completed website projects in its portfolio and marketing materials for the purpose of demonstrating its work.

This may include displaying:

  • Website screenshots

  • Business name

  • Website URL

  • General project description

BIT Web Designs will not intentionally publish confidential Client information.


26. Website Security

BIT Web Designs takes reasonable steps to maintain website security where security services are included.

However, no website can be guaranteed to be completely secure.

Security may be affected by:

  • Outdated software;

  • Third-party plugins;

  • Weak passwords;

  • Client access;

  • Hosting infrastructure;

  • Third-party integrations;

  • Malware;

  • Cyberattacks; and

  • Other factors outside BIT Web Designs’ reasonable control.


27. Limitation of Liability

To the extent permitted by South African law, BIT Web Designs will not be liable for indirect, incidental, consequential or special losses arising from the use of our services.

This may include loss of:

  • Profits;

  • Business opportunities;

  • Revenue;

  • Data;

  • Website traffic; or

  • Business reputation.

Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.


28. POPIA and Personal Information

BIT Web Designs is committed to complying with applicable South African data protection legislation, including the Protection of Personal Information Act 4 of 2013 (POPIA).

Personal information will be processed in accordance with our Privacy Policy and applicable law.

Our Privacy Policy explains how we collect, use, store, protect and process personal information.


29. Confidentiality

Both parties agree to treat confidential business, technical and commercial information received from the other party as confidential and not disclose such information to unauthorised third parties except where required by law or necessary to provide the agreed services.


30. Force Majeure

BIT Web Designs will not be responsible for delays or failure to perform services caused by circumstances beyond our reasonable control.

These may include:

  • Natural disasters;

  • Power failures;

  • Internet outages;

  • Cyberattacks;

  • Government restrictions;

  • Strikes;

  • Third-party service outages;

  • Hosting failures;

  • Telecommunications failures; or

  • Other circumstances beyond reasonable control.


31. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa.

Any disputes will be handled in accordance with applicable South African law.


32. Changes to These Terms

BIT Web Designs reserves the right to update these Terms and Conditions from time to time.

The latest version will be published on the BIT Web Designs website.

Where a material change affects an existing Client agreement, reasonable notice will be provided where required.
